Platform-Level Agreement — Applies to All Study Companions and Services

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. This Agreement contains a binding arbitration clause and class action waiver in Section 14, which affects your legal rights. By using our Services, you agree to resolve disputes through individual arbitration and waive your right to participate in class actions.

Welcome to Notary Test Prep Academy. These Terms of Service ("Terms") constitute a legally binding agreement between you and Notary Test Prep Academy LLC, a Texas limited liability company ("NTPA," "we," "us," or "our"). Please read these Terms carefully before using our website and services. By creating an account or accessing any of our study companions, you agree to be bound by these Terms.

1. Acceptance of Terms
By accessing or using the Notary Test Prep Academy website, mobile application, or any related services (collectively, the "Services"), you expressly acknowledge and agree to be bound by these Terms of Service, including the arbitration agreement and class action waiver. If you do not agree to these Terms, you may not access or use the Services.
These Terms apply to all NTPA study companions and services, regardless of which state-specific study companion you enroll in. Individual study companions may have additional state-specific disclaimers that supplement these Terms.

2. Nature of Services
2.1 Supplemental Learning Companion
Notary Test Prep Academy is an independent supplemental learning companion and does not replace your state's required notary education or official materials. Our content is provided for learning support only and is not legal advice. State laws and requirements may change; always verify information with your state's official notary authority.

2.2 Not State-Approved Education
Our study companions and materials are NOT state-approved notary education. Many states require completion of a state-approved course of study for notary public appointment or renewal. You must complete any such requirements separately through a state-approved provider. Each state-specific study companion includes a Disclaimer with details about that state's requirements.

2.3 No Guarantee of Exam Passage
We do not guarantee that you will pass any state's notary public examination or obtain appointment as a notary public. Exam results depend on many factors including your individual preparation, study habits, and comprehension of the material.

2.4 Not Legal Advice
Nothing in our study companions, materials, or interactions with our AI-powered study tools constitutes legal advice, legal interpretation, or legal determination. We do not interpret law, and you should not rely on our materials as a substitute for professional legal counsel. For legal questions, please consult a licensed attorney in your jurisdiction.

2.5 State-Specific Information
Each state has different notary laws, requirements, and procedures. Information provided in one state's study companion may not apply to other states. Always refer to your specific state's study materials and official state sources for information applicable to your jurisdiction.

3. No Reliance; User Responsibility
3.1 Educational Purpose Only
YOU EXPRESSLY ACKNOWLEDGE AND AGREE that all content, materials, practice questions, explanations, and AI study partner responses provided through the Services are for educational and informational purposes only. You shall not rely on any content for professional, legal, or official decisions.

3.2 No Professional Reliance
You agree that you will NOT rely on NTPA content, directly or indirectly, for:
• Decisions regarding specific notarial acts
• Legal interpretations or determinations
• Professional advice of any kind
• Official or regulatory compliance decisions
• Any decision with legal, financial, or professional consequences

3.3 User's Sole Responsibility
You are solely responsible for:
Your own learning, preparation, and exam performance
Verifying all information with official state sources before relying on it
• Completing any state-required education through approved providers
• Meeting all requirements for notary appointment in your state
Your own conduct and decisions as a notary public, if appointed
NTPA accepts no responsibility for your examination results, appointment status, or notarial acts.

4. Account Creation and Access
4.1 Account Requirements
To access our study companions, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Single User License
Each account and enrollment is for a single individual user only. You may not share your account credentials with others or allow others to access the Services through your account.

4.3 Account Security
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.4 Access
Access is granted upon successful payment and enrollment. Access duration and terms may vary by study companion and will be specified at the time of purchase.

5. Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial study purposes. You may:
Access study materials for your own learning and study
• Take practice quizzes for self-assessment
• Use AI-powered study partner features for study support
• Download materials specifically marked as downloadable for personal use

6. Prohibited Use
You agree NOT to:
Share, resell, distribute, or commercially exploit any content or materials
Copy, reproduce, or create derivative works from our content
Share your account access with others or allow unauthorized access
Use automated tools, bots, or scrapers to access or extract content
Circumvent or attempt to circumvent any access controls or security measures
Use the Services for any unlawful purpose
• Misrepresent your identity or affiliation
• Interfere with or disrupt the Services or servers
Upload or transmit viruses, malware, or other harmful code
Harvest or collect information about other users
• Use content from one state's study companion to create materials for another state
7. Intellectual Property
7.1 NTPA Ownership
All content, materials, software, trademarks, and other intellectual property associated with the Services are owned by or licensed to Notary Test Prep Academy LLC. This includes, without limitation, study modules, practice questions, explanations, AI study partner responses, graphics, logos, and website design.

7.2 Limited License
Your use of the Services does not grant you any ownership rights in our intellectual property. The license granted to you is limited to personal study use as described in Section 5.

7.3 Third-Party Content
Our materials may reference or quote from official government publications, statutes, and regulations. Such content remains the property of the respective government authorities. Our organization and presentation of such content is protected by our intellectual property rights.

8. AI-Powered Features
8.1 AI Study Partner Limitations
Our AI-powered study partner is designed to support your learning. The AI study partner provides learning support only, does not provide legal advice or legal interpretations, and you should verify information with your state's official notary authority.

8.2 No Reliance on AI Responses
AI-generated responses are for educational support only. You expressly agree NOT to rely on AI responses as authoritative statements of law, legal interpretations, or substitutes for official state materials. AI responses may contain errors, omissions, or outdated information.

8.3 State-Specific Responses
AI study partners are configured for specific states. Responses from a state-specific AI study partner apply only to that state's laws and requirements and should not be applied to any other jurisdiction.

9. Payment and Billing
9.1 Pricing
Pricing is displayed at the time of purchase. All prices are in U.S. dollars unless otherwise indicated. We reserve the right to change pricing at any time, but changes will not affect previously completed purchases.

9.2 Payment Processing
Payments are processed through our third-party payment processor, Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your complete payment card information on our servers.

9.3 Taxes
You are responsible for any applicable taxes on your purchases.

10. Refunds
All sales are final upon enrollment. Please review the study companion description, FAQ, and any applicable Disclaimers carefully before purchasing. Refunds are subject to our Refund Policy, which is incorporated by reference into these Terms.

11. Content Accuracy and Updates
11.1 No Warranty of Accuracy
While we make reasonable efforts to ensure accuracy, WE DO NOT WARRANT THAT THE CONTENT IS COMPLETE, ACCURATE, CURRENT, OR ERROR-FREE. Notary laws, regulations, and requirements change frequently. There may be delays between legal changes and updates to our content.

11.2 Laws Change
State notary laws, examination content, and appointment requirements are subject to change at any time without notice to us. We are not responsible for changes in law that affect the accuracy of our content.

11.3 Official Sources Control
In the event of any discrepancy between our content and official state sources (including statutes, regulations, handbooks, and government websites), the official state sources control. You are responsible for verifying all information with official sources.

11.4 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, materials, or communications or information systems failures, including internet outages or failures.

12. Limitation of Liability
12.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT CONTENT IS ACCURATE OR CURRENT.

12.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Notary Test Prep Academy LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Maximum Liability
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE SPECIFIC STUDY COMPANION OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12.4 Jurisdictional Limitations
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12.5 No Liability for Exam Results or Notarial Acts
WE ARE NOT LIABLE FOR: (A) YOUR PERFORMANCE ON ANY STATE NOTARY EXAMINATION; (B) YOUR ABILITY OR INABILITY TO OBTAIN APPOINTMENT AS A NOTARY PUBLIC; (C) ANY CONSEQUENCES ARISING FROM YOUR NOTARIAL ACTS OR OMISSIONS; (D) ANY DECISIONS YOU MAKE BASED ON OUR CONTENT; OR (E) ANY RELIANCE YOU PLACE ON OUR CONTENT.

12.6 Essential Basis
YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND NTPA, AND THAT NTPA WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS.

13. Indemnification
You agree to indemnify, defend, and hold harmless Notary Test Prep Academy LLC and its members, managers, officers, employees, agents, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your violation of any applicable law; (e) your conduct in connection with the Services; (f) your acts or omissions as a notary public; or (g) any claim that you relied on our content for professional, legal, or official purposes.

14. Dispute Resolution: Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL. IT ALSO LIMITS YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS.

14.1 Agreement to Arbitrate
You and Notary Test Prep Academy LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with NTPA (collectively, "Disputes") will be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring individual claims in small claims court if the claims qualify.
14.2 Waiver of Jury Trial
BY AGREEING TO ARBITRATION, YOU AND NTPA ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY.

14.3 Class Action Waiver
YOU AND NTPA AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION AGAINST NTPA.
If this class action waiver is found to be unenforceable, then the entirety of this arbitration agreement shall be null and void, but the remainder of these Terms shall remain in effect.

14.4 Arbitration Rules and Procedures
The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the AAA's Consumer Arbitration Rules then in effect, except as modified by this Section. The AAA Rules are available at www.adr.org. A form for initiating arbitration proceedings is available on the AAA's website.

14.5 Arbitration Location and Procedure
The arbitration shall be conducted in the English language. Unless you and NTPA agree otherwise, any arbitration hearing will take place in Texas. If your claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic or video hearing, or by an in-person hearing.

14.6 Arbitration Costs
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. If your claim is for $10,000 or less, NTPA will reimburse you for filing fees at the conclusion of the arbitration if the arbitrator determines that NTPA's position was frivolous.

14.7 Arbitrator's Decision
The arbitrator shall have exclusive authority to resolve all Disputes, including the arbitrability of any claim. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
14.8 Informal Resolution First
Before initiating arbitration, you agree to first contact us at legal@notarytestprepacademy.com and attempt to resolve the Dispute informally for at least thirty (30) days. If we are unable to resolve the Dispute within thirty (30) days, either party may then proceed to arbitration.

14.9 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights pending arbitration.

14.10 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@notarytestprepacademy.com within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, you may pursue claims in court, but all other provisions of these Terms will remain in effect.

15. Time Limitation on Claims
YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR YOUR USE OF THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR IT WILL BE FOREVER BARRED. This limitation applies regardless of the form of action, whether in arbitration, contract, tort, or otherwise.

16. Governing Law
16.1 Choice of Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
16.2 Venue for Non-Arbitrable Claims
For any claims not subject to arbitration, or if the arbitration agreement is found unenforceable, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Texas, and you waive any jurisdictional, venue, or inconvenient forum objections to such courts.

17. Term and Termination
17.1 Term
These Terms remain in effect while you use the Services or maintain an account with us.

17.2 Termination by You
You may terminate your account at any time by contacting us. Termination does not entitle you to a refund.

17.3 Termination by Us
We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your license to use the Services ends immediately.

17.4 Survival
The following sections survive termination of these Terms: Sections 3 (No Reliance), 7 (Intellectual Property), 11 (Content Accuracy), 12 (Limitation of Liability), 13 (Indemnification), 14 (Arbitration), 15 (Time Limitation), 16 (Governing Law), and any other provisions that by their nature should survive.

18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, and any applicable Disclaimers, constitute the entire agreement between you and NTPA regarding the Services and supersede all prior agreements and understandings.

18.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.

18.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by NTPA.

18.4 Assignment
You may not assign or transfer these Terms without our prior written consent. Notary Test Prep Academy LLC may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

18.5 Modifications
We may modify these Terms at any time by posting updated Terms on our website. Material changes will be indicated by updating the "Effective Date" above. Your continued use of the Services after modifications constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

18.6 State-Specific Terms
Individual study companions may include state-specific Disclaimers that provide additional terms applicable to that study companion. In the event of any conflict between these Terms and a Disclaimer, the Disclaimer controls for matters specific to that state's study companion.
18.7 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
